1. Authorized Access & Credential Integrity

(a) Unique Identity: The DealerAmmo Platform (the Engine) is a proprietary SaaS environment. Access is granted exclusively to authorized dealership personnel. Each user must maintain a unique operator identity anchored to their verified profile. Shared credentials are strictly prohibited.

(b) User Lifecycle Management: The Controller assumes exclusive responsibility for the timely deactivation of operator identities upon a user’s change in employment status, termination, or role reassignment. DealerAmmo is not liable for unauthorized data access, modifications, or extractions performed by former employees or contractors whose credentials were not promptly revoked by the Dealership’s administrators.

(c) Enforcement: Any attempt to access the Engine via unauthorized credentials, automated tools, or deceptive login practices will result in immediate revocation of access. DealerAmmo reserves the right to pursue all available legal remedies to protect the integrity of the system and its proprietary architecture.

2. Intellectual Property & Anti-Replication

(a) Ownership: All scoring algorithms, pacing logic, analytical visualizations, database schemas, and proprietary product methodologies are the exclusive intellectual property of DealerAmmo.

(b) Prohibited Conduct: Users are strictly prohibited from:
Reverse Engineering: Attempting to decompile, disassemble, or discover the underlying source code or logic flow of the Engine.
Replication: Utilizing access to the Platform to build, develop, or assist in the creation of a competing product that mirrors the DealerAmmo methodology.
Automated Extraction: Using bots, scrapers, or AI-driven tools to harvest data, user interface patterns, or logic structures from the System.

(c) Trade Secrets: The specific visual arrangement of all dashboards, reporting interfaces, and data-entry modules—including the proprietary logic flow used to calculate retail pacing and financial benchmarks—are considered protected trade secrets. Any unauthorized reproduction of these unique look-and-feel elements, user-interface patterns, or administrative hierarchies constitutes a material breach and will be prosecuted to the maximum extent of the law.

3. Data Accuracy & DMS Source Liability

The Engine processes data "as-is" from the Controller’s Manual Entry, DMS, CSV imports, or API feeds. DealerAmmo provides no warranty regarding the accuracy of financial calculations if the source data is corrupted, incomplete, or incorrectly mapped by the dealership or its third-party providers. It is the Controller's sole responsibility to audit deal logs for accuracy.

4. Indemnification & Hold Harmless

The Dealership Group agrees to indemnify, defend, and hold harmless DealerAmmo from any and all claims, losses, or legal fees arising from (a) a breach of consumer privacy resulting from the Dealership's internal credential mismanagement or improper configuration of User Atoms, or (b) any regulatory fines, financial discrepancies, or legal actions resulting from inaccurate data reporting provided by the Dealership's Source Data (including, but not limited to, DMS feeds, CSV imports, API integrations, or Manual Entries performed by Dealership personnel).

5. Limitation of Liability & Warranty Disclaimer

(a) Provision of Service: The Engine is provided on an as-is and as-available basis. DealerAmmo disclaims all warranties, express or implied, including the implied warranties of merchantability and fitness for a particular dealership purpose.

(b) Exclusion of Damages: In no event shall DealerAmmo be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

(c) Liability Cap: To the maximum extent permitted by law, DealerAmmo’s total aggregate liability for any claim arising out of the use of the Engine—whether in contract, tort, or otherwise—is strictly limited to the total amount of fees paid by the Dealership to DealerAmmo during the three (3) months preceding the event giving rise to the claim.

(d) Injunctive Relief: The Dealership acknowledges that a breach of Section 2 (Intellectual Property) would cause irreparable harm for which money damages would be inadequate; therefore, DealerAmmo shall be entitled to seek injunctive relief to stop any unauthorized use of its intellectual property or system architecture without the necessity of posting a bond.

6. User-Defined Benchmarks & Performance Responsibility

The Engine provides an analytical framework for visualizing performance targets. All financial benchmarks, showroom goals, and monthly retail objectives are defined and inputted solely by the Dealership's authorized administrators. DealerAmmo does not provide professional management advice, financial consulting, labor relations advice, or guarantees of profitability. All internal tracking, forecasting, and pacing features are mathematical models based on user-provided data; failure to achieve these self-defined benchmarks is the sole responsibility of the Dealership’s management and sales personnel.

7. Account Status, Suspension, and Termination

(a) Termination for Non-Payment (Abandonment): Subscriptions are billed in advance. Failure to provide a valid payment method upon the renewal date constitutes "Account Abandonment." DealerAmmo reserves the right to suspend "Engine" access immediately upon non-payment. Abandonment for more than thirty (30) days will result in permanent account termination.

(b) Termination for Material Breach: DealerAmmo may terminate access immediately and without notice if the Controller or its users violate Section 1 (Credential Integrity) or Section 2 (Intellectual Property) of these Terms.

(c) Financial Finality: Upon termination or cancellation by either party, no pro-rated refunds will be issued for the remaining days in the billing cycle. All outstanding "Professional Services Fees" for custom data extraction remain due and payable.

(d) Survival of Provisions: Sections 2 (IP), 4 (Indemnification), 5 (Limitation of Liability), and 8 (Scripts) shall survive the termination of this agreement indefinitely.

8. Script Vaults & Communication DNA

(a) As-Is Provision: The Platform may provide access to communication scripts, Example Scripts, or Industry Examples (collectively, Scripts) via the Engine or Browser Extensions. All Scripts are provided for illustrative and educational purposes only. DealerAmmo makes no representations, warranties, or guarantees regarding the effectiveness, performance, or profitability of these Scripts.

(b) User Responsibility: The legal landscape regarding consumer communications is subject to change. It is the sole and exclusive responsibility of the Controller and its operators to review, edit, and approve all content for legal compliance and industry standards before use. DealerAmmo does not warrant that any Scripts comply with applicable local, state, or federal regulations.

(c) Non-Reliance & Indemnification: Scripts do not constitute legal or professional advice. By utilizing any Script within a Store Node, the User acknowledges they have not relied on DealerAmmo’s expertise regarding the legality of said communication. The Dealership agrees to indemnify and hold harmless DealerAmmo from any claims, regulatory fines, or consumer disputes arising from the User’s utilization or modification of Platform-provided Scripts.

9. Miscellaneous & Dispute Resolution

(a) Mandatory Arbitration: Any dispute arising from the use of the Engine shall be settled by binding arbitration in Brevard County, Florida, rather than in court. Both parties waive any right to participate in a class-action lawsuit or class-wide arbitration.

(b) Force Majeure: DealerAmmo is not liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to internet service provider failures, cloud infrastructure outages, or acts of government.

(c) Beta Features: Features identified as beta, experimental, or early-access are provided for evaluation purposes only and are excluded from all performance warranties.
